1Acceptance of Terms
By accessing and using Latch's game server hosting services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
We reserve the right to update and change the Terms of Service without notice. Any new features that augment or enhance the current service shall be subject to the Terms of Service.
2Account Terms
You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
You are responsible for maintaining the security of your account and password. Latch cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
You are responsible for all content posted and activity that occurs under your account.
You may not use the service for any illegal or unauthorized purpose. You must not, in the use of the service, violate any laws in your jurisdiction.
3Payment and Refunds
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.
Services are billed in advance on a monthly basis and are non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.
All fees are subject to change with 30 days notice. Such notice may be provided at any time by posting the changes to the Latch website or the service itself.
For any upgrade or downgrade in plan level, your credit card will automatically be charged the new rate on your next billing cycle.
4Service Level Agreement (SLA)
Latch guarantees 99.9% uptime for all game server hosting services. If we fail to maintain this level, you may be eligible for service credits.
Scheduled maintenance windows do not count against uptime guarantees and will be announced at least 48 hours in advance.
Network availability does not include issues caused by factors outside of our reasonable control, including customer or third-party equipment, or Internet access problems.
Service credits must be requested within 7 days of the incident and will be evaluated on a case-by-case basis.
5Acceptable Use Policy
You may not use our service to store, host, or send unsolicited email (spam) or SMS messages.
You may not use our service to host or distribute malware, viruses, or any malicious code.
You may not use our service for any activity that is illegal under applicable law or infringes on the rights of others.
You may not intentionally distribute viruses or other destructive or harmful files, including DDoS attacks or attempts to compromise our infrastructure.
You may not abuse our support team through harassment, excessive requests, or abusive language.
Violation of this policy may result in immediate termination of service without refund.
6Server Resources and Fair Usage
Each hosting plan comes with allocated resources (CPU, RAM, storage). You agree not to exceed these limits or abuse shared resources.
We reserve the right to suspend or throttle services that are causing excessive load or impacting other customers.
Cryptocurrency mining, game server hosting for other parties (reselling), or any resource-intensive applications not related to game hosting are strictly prohibited.
We may enforce automatic backups, but you are responsible for maintaining your own backups of critical data.
7Content and Data
You retain ownership of all content you upload to your game servers. We claim no intellectual property rights over the material you provide.
You are solely responsible for ensuring that your content complies with all applicable laws and does not infringe on third-party rights.
We reserve the right to remove content that violates our Acceptable Use Policy or applicable laws without prior notice.
While we implement industry-standard backup procedures, you are responsible for maintaining your own backups. We are not liable for any data loss.
Upon termination of service, we will retain your data for 7 days before permanent deletion. After this period, data recovery will not be possible.
8DDoS Protection and Security
We provide enterprise-grade DDoS protection up to 3.2 Tbps capacity. However, extremely sophisticated attacks may require additional mitigation.
If your server is the target of a sustained DDoS attack that impacts our infrastructure, we reserve the right to null-route your IP temporarily.
You are responsible for securing your game server, including setting strong passwords and keeping software updated.
We implement industry-standard security measures, but no system is 100% secure. You acknowledge this inherent risk.
9Service Modifications and Interruptions
We reserve the right to modify or discontinue, temporarily or permanently, the service (or any part thereof) with or without notice.
We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the service.
Scheduled maintenance will be announced at least 48 hours in advance when possible. Emergency maintenance may occur without prior notice.
We are not responsible for service interruptions caused by factors outside our control, including internet service provider issues, natural disasters, or force majeure events.
10Termination
You may cancel your service at any time through your account dashboard. Cancellation will take effect at the end of your current billing cycle.
We reserve the right to suspend or terminate your account immediately for violation of these Terms of Service, illegal activity, or abuse of our services.
Upon termination, your right to use the service will immediately cease. All provisions of the Terms of Service which by their nature should survive termination shall survive.
No refunds will be issued for early termination, whether initiated by you or by us for violation of terms.
11Limitation of Liability
Latch shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service.
Our total liability to you for all claims arising from the use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above limitations may not apply to you.
We are not responsible for any damage to your computer system or loss of data that results from the download or use of any content or services.
12Intellectual Property
The Latch name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Latch. You must not use such marks without our prior written permission.
Our service and all materials included or transferred, including software, images, text, graphics, and logos, are protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our services or software without explicit permission.
13Privacy and Data Protection
Your use of the service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
We collect and process personal data in accordance with GDPR, CCPA, and other applicable data protection regulations.
We implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk.
You have the right to access, correct, or delete your personal data. Contact our support team to exercise these rights.
14Governing Law and Disputes
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Latch operates, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the service shall be resolved through binding arbitration, except where prohibited by law.
You agree to waive any right to a jury trial or to participate in a class action lawsuit.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
